Peyd Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of Peyd (the “App”) and any payment services, including Tap to Pay, provided by Digital Data OÜ (“we”, “us”, “our”). By creating a merchant account or using the App, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the App or any related services.

2. Eligibility & Merchant Account

To use Peyd as a merchant, you must:

• Be at least 18 years old (or the age of majority in your jurisdiction);
• Have the legal authority to enter into contracts on behalf of your business;
• Provide accurate and complete information during registration, including business details and contact information;
• Maintain the security of your login credentials and device used to process payments.

You are responsible for all activities that occur under your account and for ensuring that your use of Peyd complies with all applicable laws and regulations.

3. Services Provided

Peyd enables merchants to accept card payments via:

• Tap to Pay on compatible devices;
• In-person payments via supported payment methods;
• Other point-of-sale functionalities as made available in the App.

We may update, modify, or discontinue parts of the service at any time, with or without prior notice, provided that such changes do not unreasonably affect your ability to access past transaction data required for accounting and legal compliance.

4. Payment Processing & Payouts

Payment processing is performed in cooperation with third-party payment processors and acquiring banks. By using Peyd, you also agree to be bound by the terms and policies of such payment providers, where applicable.

Payout schedules, settlement times, and applicable fees will be communicated to you within the App or in separate agreements. Payouts may be delayed or withheld in case of:

• Fraud investigations or chargebacks;
• Regulatory or legal obligations;
• Incomplete or inaccurate KYC/KYB information;
• Violation of these Terms or payment provider rules.

5. Fees

We may charge transaction fees, subscription fees, or other charges for the use of Peyd. The applicable fees will be disclosed within the App, pricing pages, or separate agreements.

By processing a transaction or continuing to use the service, you consent to the applicable fees being deducted from your settlements or charged to your registered payment method.

6. Prohibited Activities

You agree not to use Peyd for any illegal, high-risk, or prohibited activities, including but not limited to:

• Money laundering or terrorist financing;
• Fraudulent transactions or chargeback abuse;
• Sale of illegal goods or services;
• Processing transactions on behalf of third parties (payment aggregation) without authorization;
• Any activity that violates card network rules or local laws.

We reserve the right to suspend or terminate your account, and to hold funds where required by law or payment provider rules, if we suspect any prohibited activity.

7. Data Protection & Privacy

Our processing of personal data is governed by our Privacy Policy. By using Peyd, you acknowledge that your data and your customers' data may be processed in accordance with that policy.

You are responsible for providing any legally required notices to your customers regarding the processing of their payment and transaction data, where applicable.

8. Intellectual Property

All trademarks, logos, software, content, and other intellectual property related to Peyd are owned by Digital Data OÜ or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the App solely to access the services provided under these Terms.

You may not copy, modify, reverse engineer, or distribute any part of the App except as expressly permitted by law or with our prior written consent.

9. Service Availability

We strive to provide continuous availability of Peyd, but we do not guarantee that the service will be uninterrupted or error-free. Maintenance, updates, or external factors (such as network providers or payment partners) may affect service availability.

We will make reasonable efforts to notify you of planned maintenance or significant disruptions where feasible.

10. Disclaimers

Peyd is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee approval of your merchant account, uninterrupted processing, or protection against all fraudulent activities or chargebacks.

11. Limitation of Liability

To the maximum extent permitted by law, Digital Data OÜ and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, or data, arising out of or related to your use of Peyd.

Our aggregate liability for any claim relating to the service shall not exceed the total fees paid by you to us in the three (3) months preceding the event giving rise to the claim.

12. Termination

You may stop using Peyd at any time and may request account deletion in accordance with our Account Deletion Policy.

We may suspend or terminate your access to the App immediately if:

• You violate these Terms;
• We suspect fraudulent or illegal activity;
• We are required to do so by law or payment providers;
• Continuing the service becomes commercially or technically unreasonable.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of Estonia, without regard to its conflict-of-law principles.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Estonia, unless mandatory law provides otherwise.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page and, where appropriate, notify you via the App or email.

Your continued use of Peyd after such changes constitutes acceptance of the updated Terms.
